Essential Terms & Conditions for Seshta Mart (General User Agreement)

This document is a legal contract between Sesta Fusion Foods & Beverages (OPC) Private Limited, operating as Seshta Mart (the "Platform") and any individual or entity using the website (the "User").

1. Acceptance and Scope of Agreement

  • Acceptance: States that by accessing, browsing, or using the Platform, the User agrees to be bound by these Terms, the Privacy Policy, and other linked policies (like Return/Refund).

  • Platform Role: Clearly defines the Platform as an intermediary/marketplace that facilitates transactions between third-party Sellers and Buyers. It confirms that the Platform is not the Seller of Record for all products listed.


2. User Accounts and Obligations

  • Eligibility: Specifies the minimum age (e.g., 18 years) and legal capacity required to use the Platform.

  • Account Responsibility: States that the User is solely responsible for maintaining the confidentiality of their account details (password, username) and for all activities that occur under their account.

  • Prohibited Activities: Lists prohibited conduct, such as illegal acts, posting defamatory/obscene content, using automated systems/bots, and attempting to interfere with site operations.


3. Products, Pricing, and Orders

  • Product Information: States that the Sellers are solely responsible for the accuracy, quality, legality, and safety of the products they list. The Platform disclaims liability for inaccuracies in product descriptions provided by Sellers.

  • Pricing: Confirms that prices are set by the individual Sellers. The Platform reserves the right to correct pricing errors and cancel orders if a pricing error occurs.

  • Order Acceptance: Clarifies that an order confirmation is merely an acknowledgment and does not constitute a confirmed sale. The sale is concluded only once the Seller ships the product.


4. Payments, Shipping, Returns, and Refunds

  • Payment Gateway: States that the Platform uses third-party payment processing services, and the User agrees to their respective terms and conditions.

  • Shipping & Delivery: Clarifies whether shipping is managed by the Platform (Fulfillment by Seshta Mart) or by the Seller. States that delivery dates are estimates only and the Platform is not liable for delays caused by the Seller or courier.

  • Returns and Refunds: Crucial for a multi-vendor model. States that while the Platform aims to facilitate a smooth return process, the final responsibility for honoring the Return and Refund Policy (which should be a separate, linked document) lies with the individual Seller.


5. Intellectual Property Rights (IPR)

  • Platform Content: Declares that all content owned by Seshta Mart (logo, software, design, text not provided by Users/Sellers) is protected by copyright and trademark laws.

  • Seller/User Content: Requires Users/Sellers to ensure they have the necessary rights and licenses for any content (images, descriptions) they submit to the Platform. The Platform is indemnified against any claim of IPR infringement arising from Seller content.


6. Disclaimers and Limitation of Liability

  • "As Is" Basis: States that the Platform and its services are provided on an "as is" and "as available" basis, without warranties of any kind.

  • Third-Party Liability: This is the most critical clause for a marketplace. Explicitly limits the Platform's liability, stating that it will not be liable for any actions, negligence, or breach of contract by any Seller or Buyer.

  • Damage Cap: Limits the total liability of the Platform to the User to the value of the products purchased or fees paid in the preceding months.


7. Governing Law and Dispute Resolution

  • Governing Law: Specifies that the Terms are governed by the laws of India (and specifically the laws of the state where Sesta Fusion Foods & Beverages (OPC) Private Limited is registered, typically Telangana/Hyderabad).

  • Jurisdiction: States that any disputes shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.


8. Termination

  • Termination by Platform: Reserves the right for the Platform to suspend or terminate a User's account at its sole discretion, without notice, for breach of these Terms or for fraudulent activity.

  • Termination by User: Outlines the process for a User to close their own account.



? Vendor Agreement (Seller Terms & Conditions)

This is a separate, more detailed contract specifically outlining the operational relationship between Sesta Fusion Foods & Beverages (OPC) Private Limited, operating as Seshta Mart and the Vendor.

Key Clauses to Include in the Vendor Agreement:

  1. Scope of Engagement: Defines the relationship as non-exclusive and confirms the Vendor is an independent contractor.

  2. Product Compliance: Requires the Vendor to comply with all Indian laws (e.g., FSSAI, Legal Metrology, GST, Consumer Protection Act) and ensure all products are genuine and safe.

  3. Commission & Payment Terms: Details the commission percentage structure, payment cycles (e.g., T+7 days after delivery), handling of GST, and any listing or subscription fees.

  4. Logistics & Fulfillment: Clearly defines who is responsible for shipping (Vendor or Seshta Mart logistics). Sets out packaging standards and time limits for dispatch.

  5. Returns, Refunds, and Chargebacks: Defines the financial liability of the Vendor for returns, refunds, and any payment chargebacks that may occur.

  6. Indemnity: Requires the Vendor to indemnify (protect) the Platform against any claims, losses, or legal costs arising from the Vendor's products, content, or actions.

  7. IPR Warranty: Vendor guarantees that their products and branding do not infringe on the intellectual property rights of any third party.

  8. Data Usage: Defines how the Platform and the Vendor can use customer data (e.g., only for fulfilling the order).
